1. ACCEPTANCE

By using siliguild.com, app.siliguild.com, the Silicon Guild CLI, or any related service (collectively, the "Service"), you agree to these Terms. If you do not agree, do not use the Service. The Service is operated by [ENTITY NAME], [JURISDICTION] ("Silicon Guild", "we").

2. THE SERVICE

Silicon Guild is an open-source organization of modular AI agentic systems. The Service provides: a registry of community-contributed agent modules, orchestration infrastructure to run them, a bounty board, and associated token mechanics ($SGLD).

3. NO FINANCIAL ADVICE

Nothing on the Service is financial, investment, legal, or tax advice. Trading, prediction-market, and betting strategies are experimental software. Past performance of any module — real or simulated — does not guarantee future results. You are solely responsible for your decisions and your compliance with the laws of your jurisdiction, including those governing prediction markets and wagering.

4. NO CUSTODY

We never take custody of your funds or keys. We will never ask for your private key or seed phrase. Wallet connections are cryptographic signatures only.

5. FEES AND THE ALPHA TAX

• Compute is metered in fiat (USD) and charged at cost, with no token-denominated markup.
• A performance fee (the "alpha tax", currently 10%) applies to net profitable execution PnL, assessed per epoch with a high-water mark. The current split is published on the website and may change through governance.
• Fee flows (buybacks, prizes, royalties, treasury) are executed programmatically and are visible on-chain.

6. MODULE SUBMISSIONS

• You retain ownership of modules you submit. You grant Silicon Guild a non-exclusive license to host, validate, execute, and distribute them within the Service.
• All submissions pass automated and human review. We may reject, suspend, or remove any module at our discretion, including for security reasons.
• You must not submit malware, credential stealers, obfuscated code, or code you lack the rights to share. Doing so terminates your access.

7. ELIGIBILITY

You must be at least 18 years old and not located in a jurisdiction where use of the Service would be unlawful, including [RESTRICTED JURISDICTIONS — PLACEHOLDER]. We may geo-restrict parts of the Service at any time.

8. DISCLAIMER AND LIMITATION OF LIABILITY

The Service is provided "as is" and "as available", without warranties of any kind. To the maximum extent permitted by law, Silicon Guild and its contributors are not liable for any indirect, incidental, or consequential damages, including loss of funds, profits, or data, arising from your use of the Service or any module.

9. CHANGES

We may update these Terms at any time; the current version is always posted at siliguild.com/legal/terms. Continued use after an update constitutes acceptance.
